PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE VIZUANI SERVICES.
BY CLICKING "I ACCEPT," OR BY ACCESSING OR USING VIZUANI'S DIGITAL VISUALIZATION SERVICES, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THIS AGREEMENT.
THIS IS A LEGALLY BINDING AGREEMENT BETWEEN YOU (“CUSTOMER” OR “YOU”) AND VIZUANI (“VIZUANI,” “WE,” OR “US”). IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.1. Orders and Agreement Scope
1.1. This Agreement applies to all orders placed by you for 3D clothing visualization services, digital fabrics, avatar fitting, animation, or AR/VR-ready fashion content (collectively, “Services”).
1.2. Any online order, quote, or written proposal confirmed by you (the “Order”) becomes part of this Agreement.
1.3. Vizuani may update these Terms. Continued use of the Services after changes become effective signifies acceptance.
2. Use of the Vizuani Services
2.1. Subject to your compliance, Vizuani provides Services described in your Order and any user documentation, guides, or specifications (“Documentation”).
2.2. Services may include:
3D fashion assets and visualizations
Fabric digitalization
Avatar-based fittings
3D animation
Augmented and Virtual Reality previews
2.3. All 3D clothing and digital outputs (“Supporting Visuals”) are based on inputs provided by the Customer. These are not auto-generated by user prompts but created manually by our design team based on your brief.
3. Licensing and Ownership
3.1. You are granted a non-exclusive, non-transferable, revocable license to use the delivered Supporting Visuals only for your own commercial use such as e-commerce, advertising, or internal previews.
3.2. Vizuani retains ownership of:
All methods, software, and platforms used
All generic templates, animations, and proprietary 3D assets not uniquely created for you
3.3. You may not resell or redistribute the visuals without written consent.
4. Customer Responsibilities
4.1. You agree to:
Provide clear project briefs, size specs, and references
Ensure you have the right to share all materials used (e.g., brand logos, fabric swatches)
Not misuse the platform for illegal, harmful, or offensive content
4.2. Vizuani is not responsible for any misuse of the Services by the Customer or any breach of third-party intellectual property.
5. Customer Data
5.1. “Customer Data” includes any files, designs, references, or brand materials shared for project execution. You retain full ownership.
5.2. You grant Vizuani a royalty-free, non-exclusive license to use Customer Data to create your visuals and for internal improvement of services (anonymously or de-identified).
5.3. You agree that Customer Data will not include personal information unless necessary and processed under relevant data laws (GDPR, etc.).
6. Feedback and Improvements
6.1. Vizuani may use anonymized service usage data to improve its offerings.
6.2. If you submit suggestions or feedback, Vizuani may use them to enhance the platform, without obligation or compensation.
7. Service Restrictions
You agree NOT to:
Copy, reverse-engineer, or modify our technology
Use our services for illegal or harmful purposes
Infringe intellectual property rights of others using our services
Access the services in a way that harms performance or security
8. Availability and Suspension
8.1. Vizuani may temporarily suspend or limit access due to maintenance, misuse, security threats, or legal compliance.
8.2. You must notify Vizuani if you detect unauthorized use of your account or materials.
8.3. Vizuani reserves the right to limit storage or processing capacity as required.
9. Payment Terms
9.1. All prices are listed in USD (or BDT where applicable) and are non-refundable unless stated otherwise.
9.2. Payments are due according to the schedule in the Order. Late payments may incur interest and service suspension.
9.3. All taxes, VAT, and currency conversion fees are the Customer’s responsibility.
10. Warranties and Disclaimers
10.1. Vizuani delivers visuals as described, but does not guarantee suitability for a specific legal or regulatory purpose unless explicitly stated.
10.2. Services will not be deemed non-compliant due to:
Misuse by Customer
Unapproved alterations
Vague or insufficient briefs
11. Intellectual Property
11.1. All Vizuani tools, visual frameworks, templates, and custom workflows are the exclusive property of Vizuani.
11.2. You grant Vizuani the right to reference your brand (logo, name) in client portfolios and case studies unless you opt out in writing.
12. Confidentiality
12.1. Both parties agree to maintain confidentiality of non-public information shared during collaboration, including briefs, pricing, and unreleased visuals.
12.2. This clause does not apply to:
Information publicly available
Information lawfully disclosed by a third party
Required disclosures by law
13. Indemnity
You agree to indemnify and hold Vizuani harmless from:
Legal claims due to your materials (e.g., unauthorized brand/logo use)
Breaches of this Agreement
Violations of applicable laws using Vizuani Services
14. Limitation of Liability
Vizuani’s total liability for any claim under this Agreement is limited to the amount paid for the affected Order in the past six (6) months. We are not liable for indirect or consequential damages.
15. Termination
15.1. Either party may terminate this Agreement or an individual Order by giving thirty (30) days’ written notice.
15.2. Upon termination, access to services and account may be revoked, and any unpaid dues remain payable.
15.3. Customer Data must be backed up before termination. Vizuani is not obligated to retain files after 30 days of termination.
16. Governing Law
This Agreement is governed by the laws of the People’s Republic of Bangladesh. Any disputes will be handled in the courts of Dhaka.
17. Final Terms
17.1. These Terms constitute the entire agreement and supersede all prior agreements or representations.
17.2. Any failure by Vizuani to enforce a clause is not a waiver of rights.
17.3. If any part of this Agreement is found unenforceable, the rest shall remain in effect.
